This book includes two volumes. This is Volume 1 which discusses some key concepts and general issues of enterprise law in Vietnam and how four main types of enterprises in Vietnam are incorporated, organised and governed. These enterprises are multiple members limited liability companies, single member limited liability companies, public joint stock companies, and non-public joint stock companies. Volume 2 discusses State-owned enterprises and foreign invested enterprises (including both enterprises that are incorporated and enterprises that are acquired by foreign investors). Volume 2 also discusses corporate restructuring including merger and split, insolvency and liquidation of a company in Vietnam, legal remedies that may be applied to a company in Vietnam including corporate criminal liability, and other alternative forms of doing businesses in Vietnam.
