Excerpt from The Law of Limited Partnership The American system of Limited Partnerships, adopted in Upper Canada and in a the organized subdivisions of the United States except the three Territories of Arizona, Idaho, and New Mexico, is unknown in the rest of the world. The idea of a limited partnership arose several centuries ago (see 3, 4) in Italy, and thence spread to the Netherlands, Spain, and France, where, viewed with eyes of lenient construction by courts and commentators, it grew to luxuriant proportions, only partially trimmed by the repeal of 38 of the Code de Commerce in 1856. The French statute without the French construction was grafted upon our jurisprudence in 1824; but the process of integrating it with the common law choked the exotic outgrowth in the germ and produced a native system bearing no resemblance to the parent, yet which, though arising under the statutes of forty-five different States, forms a consistent and homogeneous system, as does the system of Code Pleading, with almost none of the chromatic aberrations that might have been expected from the media of so many atmospheres. Excerpt from Handbook on the Law of Partnership, Including Limited Partnerships The original arrangement with the publishers contem plated, not an entirely new treatise on the law of Partner ship, but merely a new edition of Mr. William George's' text on this subject. After the work was begun, however, it seemed advisable to abandon Mr. George's text for the most part, and to prepare a substantially new treatise, us ing such portions of his work as should be found suitable. With the exception, therefore, of Chapters VIII and IX, the present book, both in arrangement and text, is new. A few passages and a number of citations and notes have been taken from Mr. George. Chapters VIII and IX are repro duced substantially as found in Mr. George's book, with the addition of later cases. The law on the subject being rea sonably well worked out in the authorities, the aim of the present author has been to make a clear and definite state ment of the leading principles, in a form serviceable alike to students and practitioners. Whatever merit the book has lies in this direction, rather than in the discussion of controverted points, or the advancement of new theories. The citations, while including all the leading cases, are not exhaustive, but are sufficiently full for practical purposes. The author acknowledges his great indebtedness for valua ble assistance in the task to Mr. Henry A. Hirshberg and to Mr. Oliver S. Rundell; also to Mr. Olcott O. The sale passes the title and vests it in the grantee; the assignment is provisional and the property reverts to the grantor when the object of the transfer is accomplished. This difference, which is fundamental, explains a case which has been heralded as revolutionary, and yet is but the type of an assign ment for creditors.' The executor-partnership needed only a statement to expose the absurdity of self-immolation as a legal tenet in a system of law and equity. Both founded upon self - interest or consideration.
